Rishi Sehgal is a first generation corporate lawyer and advises clients on mergers and acquisitions (M&A), corporate & commercial matters. Throughout his career, Rishi has been actively involved in supporting M&A transactions, assisting in the structuring, negotiation, and execution of deals for both domestic and international clients. His expertise lies in the review and drafting of a wide array of contracts, from service agreements to shareholder agreements, ensuring that all documents are meticulously tailored to protect clients’ interests.

In addition to M&A, Rishi advises clients on foreign exchange laws, telemedicine regulations, data protection, and sector-specific legal frameworks. Rishi has also handled regulatory work for a diverse range of clients, providing guidance on navigating complex legal landscapes. He has successfully advised and executed regulatory filings with key regulators such as the DPIIT, DGFT, RBI and Customs.

In his leisure time, Rishi likes bird watching, travelling and trying out new cuisines. He also enjoys watching cricket and football.

REPRESENTATIVE EXPERIENCE

  • Conducted due diligence for US and European clients in acquisitions of Indian companies, including structuring entry and exit strategies for joint ventures.
  • Advised domestic and international clients on phased acquisition of majority stakes in Indian companies, business transfers, and investments.
  • Provided guidance and carried out regulatory filings for European clients before regulator such as the Department for Promotion of Industry and Internal Trade (DPIIT), Directorate General of Foreign Trade (DGFT), Customs, and the Reserve Bank of India (RBI).
  • Assisted global conglomerates in worldwide group restructuring, focusing on structure analysis, tax impact, and implementation for Indian entities.
  • Advised healthcare and diagnostics companies on day-to-day operations, including regulatory and licensing, corporate compliance, employment, and environmental matters.
