Biography

Saniya Gandotra is a graduate from Bharati Vidyapeeth, Pune and enrolled with the Bar Council of Delhi in 2024. She is also an associate member of Institute of Company Secretaries of India. With deep passion for corporate and commercial law, securities law, and capital markets, she has handled assignments across various industry sectors such as automobile, finance, technology, FMCG, media, real estate etc. Prior to PSA, she worked as a management trainee at Maruti Suzuki India Limited focusing in area of corporate governance and legal matters under SEBI regulations and company law.

REPRESENTATIVE EXPERIENCE

  • Worked as a part of a team handling preferential issue involving allotment of 1.23 million shares to a foreign corporation in lieu of acquiring shares of its wholly-owned subsidiary
  • Handled various compliances under SEBI Regulations and Companies Act, 2013 for Indian listed company and its wholly owned subsidiary
  • Assisted a listed company in evaluating various ESG parameters
  • Conducted comprehensive due-diligence for various companies for corporate restructuring projects including M&A, stock split, capital raising etc.
  • Assisted companies in further public offer of the shares on stock exchanges issued through private placement and preferential issue
  • Worked as part of a team advising a real estate and construction company’s IPO
  • Advised an Indian automation technology-based start-up on framing ESOP scheme
  • Handled incorporation and compliance management of various private companies including Section 8 and public unlisted companies
  • Assisted in framing various statutory policies like numeration & renumeration policy, CSR policy etc.
  • Assisted various NBFCs in RBI related compliances
